Narrative:

We were cruising at 37000 ft and on direct course to new comberstown VOR. We were given a descent to 33000 with a heading of 110 degree at 36000 ft (we were slow descending at 1000 FPM on capture mode of FMC). The controller gave us a clearance to head directly to new comberstown VOR at 33000. I think the captain misread the instructions and turned directly to new comberstown VOR. I admit I was occupied and assumed he understood the clearance. At about 35000 a TCASII clearance of 'traffic' came on. At the same time, I realized the problem and set the heading bug on 110 degree (about a 20 degree turn) and hit heading select. The controller asked about our heading and I replied we were on a '110 heading.' the controller answered and we continued descent to 33000. Then turned direct to new comberstown VOR. The controller mentioned the other aircraft and we acknowledged it in sight. No further action was taken or required.

AT THE SAME TIME, I REALIZED THE PROBLEM AND SET THE HDG BUG ON 110 DEG (ABOUT A 20 DEG TURN) AND HIT HDG SELECT. THE CTLR ASKED ABOUT OUR HDG AND I REPLIED WE WERE ON A '110 HDG.' THE CTLR ANSWERED AND WE CONTINUED DSCNT TO 33000. THEN TURNED DIRECT TO NEW COMBERSTOWN VOR. THE CTLR MENTIONED THE OTHER ACFT AND WE ACKNOWLEDGED IT IN SIGHT. NO FURTHER ACTION WAS TAKEN OR REQUIRED.
