Small transport X departed myf runway 28, was given radar contact and cleared to 4000 ft. Approximately 4 mi west of myf traffic was called, 'small transport X, traffic 1 O'clock, 1 mi, sbound, indicates 3500 ft, say altitude.' small transport X replied, 'in sight.' small transport X was then cleared direct ocn, resume own navigation. Small transport X was then asked to 'squawk altitude, no mode C received.' when mode C came on, altitude was verified and frequency change was given to next sector. The pilot later called to file near midair with the VFR traffic that was issued to him.
