Narrative:
Inbound to sea, level at 12000 ft, 250 KIAS. ATC advises VFR traffic 12 O'clock, 5 mi, no altitude reported, no mode C. TCASII issues TA. We are about 1000 ft above tops of overcast, clear above. First officer is flying manually, looking for traffic. Both first officer and self look down to reset course for arrival, look up, scan, traffic 1:30 O'clock position and 100 yards, same altitude, collision course, sebound. I grabbed controls and called traffic, simultaneously pulled up hard and banked left. Aircraft #2 passes below 50 ft and slightly behind us, maybe 100 ft or less. Reported near miss to ATC. Traffic trailing 8-10 mi, level at 12500 ft after our report and confirms traffic sebound at 12000 ft, bonanza or cherokee passing below them. Forward flight attendant was put to the floor in forward galley during evasive action. Suffered minor scrape to back from galley service door handle. No medical attention required. Continued working. Am filing appropriate near miss documentation with FSDO, poi for investigation.

FO IS FLYING MANUALLY, LOOKING FOR TFC. BOTH FO AND SELF LOOK DOWN TO RESET COURSE FOR ARR, LOOK UP, SCAN, TFC 1:30 O'CLOCK POS AND 100 YARDS, SAME ALT, COLLISION COURSE, SEBOUND. I GRABBED CTLS AND CALLED TFC, SIMULTANEOUSLY PULLED UP HARD AND BANKED L. ACFT #2 PASSES BELOW 50 FT AND SLIGHTLY BEHIND US, MAYBE 100 FT OR LESS. RPTED NEAR MISS TO ATC. TFC TRAILING 8-10 MI, LEVEL AT 12500 FT AFTER OUR RPT AND CONFIRMS TFC SEBOUND AT 12000 FT, BONANZA OR CHEROKEE PASSING BELOW THEM.
