Narrative:

On the evening of jan/sun/00, at approximately XA30, I (first officer for arc X) was on a flight from bdl to acy. Only the captain, flight attendant and myself were aboard with no passenger. We were repositioning to acy for a charter flight. The captain was the PF. We were level at 11000 ft with ZNY between cloud layers. The center called out traffic at 1 O'clock position (cannot recall distance) and we acknowledged in sight. Center then cleared us to maintain visual separation and climb to 16000 ft. The captain and I observed the traffic on TCASII (which was set to normal) and he (captain) initiated the climb to 16000 ft. At 13000 ft we received a TA on our TCASII followed by an RA with a command to descend. The captain disengaged the autoplt and followed the command on the vsi. We both then observed an additional aircraft appear below the cloud deck at 1 O'clock position. The aircraft, I assume, must have had visual contact with us at that time. Because a transmission was made to center of our intentions, I followed with a transmission stating that we were leveling. The aircraft passed overhead at 1 O'clock position, less than 1000 ft. No other xmissions were made. We then resumed our climb to 16000 ft. The incident made us very cautious with accepting clrncs to maintain visual separation to climb or descend. Our confidence in our TCASII was also reinforced.

Title: FLC OF A CANADAIR CL65 REGIONAL JET DSNDED IN RESPONSE TO A TCASII RA AND SUBSEQUENTLY OBSERVED AN ACFT PASS 1000 FT OVERHEAD. ARTCC CTLR HAD PREVIOUSLY ISSUED A TA OF ANOTHER ACFT TO WHICH THEY HAD MAINTAINED VISUAL SEPARATION.

THE ACFT PASSED OVERHEAD AT 1 O'CLOCK POS, LESS THAN 1000 FT. NO OTHER XMISSIONS WERE MADE. WE THEN RESUMED OUR CLB TO 16000 FT. THE INCIDENT MADE US VERY CAUTIOUS WITH ACCEPTING CLRNCS TO MAINTAIN VISUAL SEPARATION TO CLB OR DSND. OUR CONFIDENCE IN OUR TCASII WAS ALSO REINFORCED.
