Narrative:
Climbing out of ack to FL220. At 8900 ft; I noticed a TCAS target at our 3 O'clock position; same altitude. The target was close in (less than 1 mi) converging at 30 degree angle. We acquired aircraft visually and at 9500 ft MSL began a pushover to 9000 ft MSL. The aircraft passed overhead TCAS indicating +300 ft. The aircraft was a CJ1 or CJ2 and was not controled by ATC. We observed aircraft pass through a broken to overcast cloud layer at approximately 12000 ft MSL. We notified ATC of the event and resumed our climb to FL220.
