Narrative:

We were cleared for frequency change to falwell (W24) CTAF and switched over to 123.00 3 miles to the east. We were lined up almost directly with the approach to runway 28 3 miles out. My student made a call at 2 miles out stating we were on a 2 mile final for 28. I was waiting to see if he would recognize we were in a tailwind landing situation and new from previous off airport approaches that we only had a 3-4 KT tailwind. My intention was to have him land with the tail wind with the whole runway ahead of us so he could feel how it pushes us and then come in for a normal approach and landing. I looked at the runway for the windsock and noticed a plane in a climb almost straight at us and took the controls and applied right cyclic and down collective to avoid the aircraft. We passed to the left of the cutlass rg and cleared it by 300-400 ft. My student and I both heard the plane say 'that was close november (my call sign)'. I told my student to make call for 28 landing to the helo field to the north of the runway and we landed without issues though I was very tight on shadowing his control movements. We did a left pedal turn and watched the plane turn left and circle the airport in a left hand pattern and depart the pattern to the north. We did not hear any additional radio calls even after making a call for the aircraft on left upwind to state intentions at falwell. We performed some hovering maneuvers and then proceeded to the ramp for shutdown of the helicopter.
