Narrative:

Near miss with light single engine aircraft. Other aircraft passed within 200 ft vertically (according to ATC altitude readout) and directly underneath our aircraft. The captain spotted aircraft at the same time ATC was calling traffic at 2 O'clock and less than a mi. Our aircraft was being flown on autoplt and there was no time to take any evasive action. Our aircraft was not TCASII equipped but believe we would have been alerted to the traffic sooner if we had TCASII.
