Narrative:

After shooting the last approach at gvt we were flying VFR back to ads at 2500 MSL going toward buj VOR about 30 mi out of ads. I began copying ATIS for ads. Once through I began briefing my student on ads WX. We saw and missed an small aircraft by no more than 10 ft under us. It happened so fast that no reaction was possible. As the instructor I should have insisted that we requested radar service en route to ads. I should have also waited until we were in radar contact receiving advisories from regional approach before I stuck the card in the other pilot's face to brief him on ads WX. Furthermore I believe I was distracted further by personal problems do to the fact I had recently had a death in my family.
