Narrative:

Cleared to descend from FL220 to FL200 by center. Passing FL210 had TA on TCASII which slowed traffic at 12 O'clock and minus 9. PF slowed rate of descent and leveled at FL205. Looking outside I saw another aircraft ahead and slightly right and a little higher than us. We looked back at TCASII and the lower target was gone. We again initiated descent and was at about FL203 or FL204 when the aircraft passed us on the right. He was at FL210. Supplemental information from acn 295571: level at FL220, light chop, center approved descent to FL200. At FL208 a TCASII advisory sounding, showing a target at our 12 O'clock and 5 mi (yellow with a minus 900) climbing. I clicked the autoplt off and slowed the rate of descent. At FL205 TCASII now showed target 12 O'clock 2 mi and now indicated plus 500 ft level. At the same time we had visual on the traffic, a 737 then had visual on us.
