Narrative:
While descending from FL330 to FL310, we received a TA on our TCASII. We visually located the aircraft (FL310) and leveled off at FL321. At that time ATC called and asked us our altitude. We replied that we had the traffic at 12 O'clock and had clearance to descend from FL330 to FL310. He said, 'roger.' once clear of traffic, we continued our descent to FL310 as he passed under us.
