Narrative:
Departing from phx en route to flg. Departure control gave us a climb to 7500 ft. We leveled off at 7500 ft for about 2 mins then got a TCASII alert. We looked for traffic and saw a B737 at 3 O'clock position at about our altitude. The TCASII painted the B737 at 2 O'clock position and 500 ft above and descending. At that time we began a descent to 7000 ft. As the B737 went over us the TCASII had shown a altitude difference of 300 ft. After the descent we asked ATC about the traffic and he said we had 500 ft separation and that was ok. We told the controller that that was a little too close for us.

Title: NMAC WITH COMMUTER LTT. OPERROR AS B737 DSNDS TOWARDS AND THROUGH OCCUPIED ALT IN THE PHX TCA, CLASS B AIRSPACE. TA NOT GIVEN. EVASIVE ACTION DSCNT.
Narrative: DEPARTING FROM PHX ENRTE TO FLG. DEP CTL GAVE US A CLB TO 7500 FT. WE LEVELED OFF AT 7500 FT FOR ABOUT 2 MINS THEN GOT A TCASII ALERT. WE LOOKED FOR TFC AND SAW A B737 AT 3 O'CLOCK POS AT ABOUT OUR ALT. THE TCASII PAINTED THE B737 AT 2 O'CLOCK POS AND 500 FT ABOVE AND DSNDING. AT THAT TIME WE BEGAN A DSCNT TO 7000 FT. AS THE B737 WENT OVER US THE TCASII HAD SHOWN A ALT DIFFERENCE OF 300 FT. AFTER THE DSCNT WE ASKED ATC ABOUT THE TFC AND HE SAID WE HAD 500 FT SEPARATION AND THAT WAS OK. WE TOLD THE CTLR THAT THAT WAS A LITTLE TOO CLOSE FOR US.
