Narrative:

I strongly feel that TCASII saved us from a midair collision. We had no other warning. Visibility, although VFR was very hazy and difficult to see other traffic. The other aircraft, a small southeast, apparently had his transponder off or intermittent. He did not appear on TRACON radar or TCASII until approximately 3.5 mi ahead at 12 O'clock position.
