Narrative:

Flight was on climb out from ewr airport given a climb to 10000 ft. It was the first officer's leg. We passed 9000 ft for 10000 ft with normal 1000 ft to go call. We had a good climb rate, quickly approaching 10000 ft. The first officer was slow to initiate the leveloff. I gently nudged the yoke forward. As this was happening, the TCASII began to say 'reduce climb' then 'descend.' we leveled at close to 10000 ft. Also, ATC said 'maintain 10000 ft.' we repeated back 'maintaining 10000 ft.' the TCASII at one point showed altitude of traffic plus 300 ft. We, however, were never off at a supposed 200 ft off the other aircraft may have been off of their altitude. We believe the traffic was GA aircraft, VFR at 10500-ish ft. The rest of flight was uneventful. ATC did not further question us as to any details.
