Narrative:
In prescott, we were cleared for takeoff on runway 21. We were cleared direct drk VOR. 2 VFR targets were reported to us by prc tower. One was taking off and turning in our direction. We had them in sight, the other was holding at drk VOR at 9000 ft. We were cleared to 11000 ft. While climbing through 8000 ft I began leveling off because I did not have the holding traffic in sight. We were checking on with ZAB when we got a traffic alert on the TCASII. I leveled off at 8500 ft. The target was 500 ft above us. We asked ATC about it, but they were too busy and did not see the situation. I got a visual on the traffic as it was passing directly over our head. This happens way too often!

Title: A TFC CONFLICT BTWN VFR AND IFR ACFT AFTER A TA WAS GIVEN.
Narrative: IN PRESCOTT, WE WERE CLRED FOR TKOF ON RWY 21. WE WERE CLRED DIRECT DRK VOR. 2 VFR TARGETS WERE RPTED TO US BY PRC TWR. ONE WAS TAKING OFF AND TURNING IN OUR DIRECTION. WE HAD THEM IN SIGHT, THE OTHER WAS HOLDING AT DRK VOR AT 9000 FT. WE WERE CLRED TO 11000 FT. WHILE CLBING THROUGH 8000 FT I BEGAN LEVELING OFF BECAUSE I DID NOT HAVE THE HOLDING TFC IN SIGHT. WE WERE CHKING ON WITH ZAB WHEN WE GOT A TFC ALERT ON THE TCASII. I LEVELED OFF AT 8500 FT. THE TARGET WAS 500 FT ABOVE US. WE ASKED ATC ABOUT IT, BUT THEY WERE TOO BUSY AND DID NOT SEE THE SIT. I GOT A VISUAL ON THE TFC AS IT WAS PASSING DIRECTLY OVER OUR HEAD. THIS HAPPENS WAY TOO OFTEN!
