Narrative:
Departed mem-phl level at 5000 ft. Departure called traffic at 10 O'clock descending to 600 ft. TCASII issued a 'descend' command at 2000 FPM indication while displaying traffic at 10 O'clock closing and only 300 ft separation. Flight condition was VFR, but restr visibility due to haze/inversion. We immediately started descent with no visual contact and notified mem departure we were in conflict and descending. At 4800 ft command ceased and we stopped descent at 4700 ft. Notified ATC we were climbing back to 5000 ft. Mem ATC said that only traffic they showed was just passing overhead at 8500 ft descending.

Narrative: DEPARTED MEM-PHL LEVEL AT 5000 FT. DEP CALLED TFC AT 10 O'CLOCK DSNDING TO 600 FT. TCASII ISSUED A 'DSND' COMMAND AT 2000 FPM INDICATION WHILE DISPLAYING TFC AT 10 O'CLOCK CLOSING AND ONLY 300 FT SEPARATION. FLT CONDITION WAS VFR, BUT RESTR VISIBILITY DUE TO HAZE/INVERSION. WE IMMEDIATELY STARTED DSCNT WITH NO VISUAL CONTACT AND NOTIFIED MEM DEP WE WERE IN CONFLICT AND DSNDING. AT 4800 FT COMMAND CEASED AND WE STOPPED DSCNT AT 4700 FT.
