Narrative:
Departing seal beach VOR on heading 320 degrees, level 7000 at 210 KTS, both lax approach and TCASII advised of climbing traffic passing 6200 ft within 1 mi at our 8 O'clock position. Traffic leveled at 6500 ft, our speeds matched. Broken cloud layer (8-9/10) at about 6700 ft (my concern was traffic could pop out underneath us -- since approach was not talking to him). I requested a turn away from this traffic. Approach obliged with a right turn to heading 360 degrees. Since the conflict traffic remained level, approach asked if we could turn back to 320 degrees. As we turned through 350 degrees, the red and white small aircraft Y came out of the clouds in a climbing right turn at us. TCASII issued a conflict and 2000 plus climb, and, as the 3 of us saw the aircraft, the first officer kicked off the autoplt, added power and climbed. I told approach 'air carrier X is taking evasive action from a red and white aircraft.' traffic passed underneath -- my estimate -- less than 500 ft.

Narrative: DEPARTING SEAL BEACH VOR ON HDG 320 DEGS, LEVEL 7000 AT 210 KTS, BOTH LAX APCH AND TCASII ADVISED OF CLBING TFC PASSING 6200 FT WITHIN 1 MI AT OUR 8 O'CLOCK POS. TFC LEVELED AT 6500 FT, OUR SPDS MATCHED. BROKEN CLOUD LAYER (8-9/10) AT ABOUT 6700 FT (MY CONCERN WAS TFC COULD POP OUT UNDERNEATH US -- SINCE APCH WAS NOT TALKING TO HIM).
