Narrative:
En route santa barbara, ca, to chino, ca, at 5000 ft assigned eastbound on V326 approaching burbank class C airspace with reported traffic at our 1 O'clock position at 5400 ft. Could not locate traffic and burbank approach requested we descend 200 ft. Descent was immediately initiated but had not lost 50 ft when traffic went almost directly overhead. The traffic was a single engine high wing cessna. The cessna took no evasive action and do not believe he saw us.
