Narrative:

On descent, I was busy in the cockpit sorting charts and cleaning up things for arrival. I was left seat not flying but giving dual to a commercial rated pilot working toward his CFI. He spotted the other airplane 12 - 1 O'clock, opposite direction, our altitude. My student started a left turn to avoid the other airplane. The other airplane never saw us and kept going 4500 ft wbound. I should have been more vigilant. It is easy to develop a false sense of security having another pilot on the airplane.
