Narrative:
After departure from yip in climb to cleared altitude, overspd warning failed and stuck. First officer was wearing headset and I did not hear proper altitude clearance due to captain's audio system being disabled for overspd warning. Descended below cleared altitude, due to confusion. Emergency sits should dictate both pilots hearing same ATC instructions. No headsets.

Title: CAPT OF AN LR24 DSNDED BELOW ASSIGNED DEP ALT DUE TO OVERCORRECTING FROM OVERSPD WARNING, WHICH BECAME STUCK.
Narrative: AFTER DEP FROM YIP IN CLB TO CLRED ALT, OVERSPD WARNING FAILED AND STUCK. FO WAS WEARING HEADSET AND I DID NOT HEAR PROPER ALT CLRNC DUE TO CAPT'S AUDIO SYS BEING DISABLED FOR OVERSPD WARNING. DSNDED BELOW CLRED ALT, DUE TO CONFUSION. EMER SITS SHOULD DICTATE BOTH PLTS HEARING SAME ATC INSTRUCTIONS. NO HEADSETS.
