Narrative:
Captain was PF. We called out '1000 ft to go' at 5000 ft MSL for assigned altitude target of 6000 ft MSL. Changed frequency at 5700 ft MSL and reported same and reported climbing to 6000 ft MSL. More radio traffic, distraction. Simultaneously I noticed as PNF first officer that altitude was 6500 ft and started to correct captain. When ATC queried altitude, we peaked at 6800 ft MSL with called traffic at 2 O'clock, 7000 ft MSL, less than 5 mi separation. Other aircraft turned left. Collision bearing was not a factor. Captain is foreign. His english is good, but he was 'behind' the aircraft continually and missed radio calls and PNF commands. It was my responsibility to monitor and correct and I failed because I let myself get distraction.

Narrative: CAPT WAS PF. WE CALLED OUT '1000 FT TO GO' AT 5000 FT MSL FOR ASSIGNED ALT TARGET OF 6000 FT MSL. CHANGED FREQ AT 5700 FT MSL AND RPTED SAME AND RPTED CLBING TO 6000 FT MSL. MORE RADIO TFC, DISTR. SIMULTANEOUSLY I NOTICED AS PNF FO THAT ALT WAS 6500 FT AND STARTED TO CORRECT CAPT. WHEN ATC QUERIED ALT, WE PEAKED AT 6800 FT MSL WITH CALLED TFC AT 2 O'CLOCK, 7000 FT MSL, LESS THAN 5 MI SEPARATION. OTHER ACFT TURNED L. COLLISION BEARING WAS NOT A FACTOR. CAPT IS FOREIGN. HIS ENGLISH IS GOOD, BUT HE WAS 'BEHIND' THE ACFT CONTINUALLY AND MISSED RADIO CALLS AND PNF COMMANDS. IT WAS MY RESPONSIBILITY TO MONITOR AND CORRECT AND I FAILED BECAUSE I LET MYSELF GET DISTR.
