On noise abatement climb out of lgb and cleared to 4000 ft we noticed cessna on TCASII. We stopped climb and cessna overflew us at 3500 ft. We asked socal if they noticed the cessna and they said 'no, but do now on mode C.'

Narrative: ON NOISE ABATEMENT CLB OUT OF LGB AND CLRED TO 4000 FT WE NOTICED CESSNA ON TCASII. WE STOPPED CLB AND CESSNA OVERFLEW US AT 3500 FT. WE ASKED SOCAL IF THEY NOTICED THE CESSNA AND THEY SAID 'NO, BUT DO NOW ON MODE C.'
