Narrative:
Clearance at 14000 ft to slow to 210 KTS and descend to 10000 ft. While slowing at 14000 ft, TCASII target appeared at 12 O'clock position 400 ft below, closing head on. No advisories from socal were given. This target was VFR. As target approached TCASII gave a preventative advisory to not descend. I noted the target at 300 ft below us now at the 11:30-12 O'clock position. This was followed by a climb resolution. As the climb was established, I noted -100 ft on the target, passing just left of our nose. The TCASII gave the reduce climb advisory then with a final altitude deviation of 400 ft leveling at 14400 ft. I call ATC of the TCASII resolution and altitude deviation. We slowed and descended to 10000 ft MSL.
