Narrative:
Proceeding inbound for landing and tower requested our aircraft to make 4 mi; 45 degree entry for runway 21L. We were being followed by another aircraft. On the 2 mi 45 degree entry; ATC requested us to make a 360 degree turn. We could not go right due to terrain; so we went left. 1/2 way through the turn; I saw traffic approaching head-on. At this point; I took the controls from my student. I pulled power and pitched down to lose altitude. We continued our 360 degree turn as instructed by ATC. The PA 44 passed over us at 300 ft. We continued the flight and landed. No harm was done due to the situation. The airspace at the time was extremely busy and the tower was handling a special flight operation with the military during the time of this near midair collision.

Narrative: PROCEEDING INBOUND FOR LNDG AND TWR REQUESTED OUR ACFT TO MAKE 4 MI; 45 DEG ENTRY FOR RWY 21L. WE WERE BEING FOLLOWED BY ANOTHER ACFT. ON THE 2 MI 45 DEG ENTRY; ATC REQUESTED US TO MAKE A 360 DEG TURN. WE COULD NOT GO R DUE TO TERRAIN; SO WE WENT L. 1/2 WAY THROUGH THE TURN; I SAW TFC APCHING HEAD-ON. AT THIS POINT; I TOOK THE CTLS FROM MY STUDENT. I PULLED PWR AND PITCHED DOWN TO LOSE ALT. WE CONTINUED OUR 360 DEG TURN AS INSTRUCTED BY ATC. THE PA 44 PASSED OVER US AT 300 FT. WE CONTINUED THE FLT AND LANDED. NO HARM WAS DONE DUE TO THE SITUATION. THE AIRSPACE AT THE TIME WAS EXTREMELY BUSY AND THE TWR WAS HANDLING A SPECIAL FLT OP WITH THE MIL DURING THE TIME OF THIS NMAC.
