Narrative:
Airline flight pit to clt. Assigned 260 degree heading 5000 ft altitude thence at about 2500 ft MSL assigned left turn to 195 degree to maintain 5000 ft for inbound traffic from the southwest assigned 6000 ft MSL. About 7 NM/200 degree bearing from pit we were issued a hard left turn to 140 degree and immediate descent to 4000 ft. At the same time we got a TCASII 'TA' at our 12:30 and about 2.5 NM. The departure controllers instructions were followed immediately and we did not receive a 'RA.' we don't know what the assigned altitude of the other aircraft was -- but it almost had to be 6000 ft MSL. It would be interesting to know if the other aircraft has TCASII and if he saw us -- we never saw the other aircraft visually. Although there was no ceiling the bases of cumulus clouds was about 3800 MSL and I would say about .3 sky coverage.
