Near miss! Late radio turnover and altitude change by ATC over somto (nancy 5 arrival) lga. TA to RA in VFR followed TCASII avoidance and air carrier Y (saab) passed 700 ft overhead. Air carrier Y said he had us VFR but there didn't appear to be any avoidance action taken. Reported to ATC. If we hadn't followed TCASII we may have conflicted.

Narrative: NEAR MISS! LATE RADIO TURNOVER AND ALT CHANGE BY ATC OVER SOMTO (NANCY 5 ARR) LGA. TA TO RA IN VFR FOLLOWED TCASII AVOIDANCE AND ACR Y (SAAB) PASSED 700 FT OVERHEAD. ACR Y SAID HE HAD US VFR BUT THERE DIDN'T APPEAR TO BE ANY AVOIDANCE ACTION TAKEN. RPTED TO ATC. IF WE HADN'T FOLLOWED TCASII WE MAY HAVE CONFLICTED.
