Narrative:
ATC issued clearance to cross jaxsn intersection at FL250, while cruising at FL290. We programmed FMS for the crossing, and waited for VNAV to display profile descent. We were both distraction and did not begin descent until ATC questioned if we had actually received clearance. We immediately started down and leveled off at clearance altitude, almost 4 mi past the fix. No other comments were made by ATC. No other factors appear to be involved, crew was well rested. We simply forgot while chatting with flight attendant.

Title: CL65 CREW MISSED A DSCNT ALT XING RESTR.
Narrative: ATC ISSUED CLRNC TO CROSS JAXSN INTXN AT FL250, WHILE CRUISING AT FL290. WE PROGRAMMED FMS FOR THE XING, AND WAITED FOR VNAV TO DISPLAY PROFILE DSCNT. WE WERE BOTH DISTR AND DID NOT BEGIN DSCNT UNTIL ATC QUESTIONED IF WE HAD ACTUALLY RECEIVED CLRNC. WE IMMEDIATELY STARTED DOWN AND LEVELED OFF AT CLRNC ALT, ALMOST 4 MI PAST THE FIX. NO OTHER COMMENTS WERE MADE BY ATC. NO OTHER FACTORS APPEAR TO BE INVOLVED, CREW WAS WELL RESTED. WE SIMPLY FORGOT WHILE CHATTING WITH FLT ATTENDANT.
