Narrative:
At 4500' in cruise oh heading of 301 degrees to fillmore (fim 122.5 VOR) we saw an air carrier medium large transport descending to the la area straight for us with landing lights on.I started a descending left turn and at the same time the medium large transport turned to his left and started to climb. He passed over us with about 400' between us. The medium large transport landing lights made it a lot easier to see the plane. Callback conversation with reporter revealed the following: reporter states that his mode C transponder was on and working. He states that his passenger saw the approaching landing lights first and alerted him and that he immediately began evasive action. It appeared to him that the other aircraft had already begun evasive action and he is unsure if the other aircraft reported the occurred to anyone.

Title: NMAC OCCURRED BETWEEN REPORTER ACFT IN VFR CRUISE CONDITION AND MLG IN DESCENT.
Narrative: AT 4500' IN CRUISE OH HDG OF 301 DEGS TO FILLMORE (FIM 122.5 VOR) WE SAW AN ACR MLG DSNDING TO THE LA AREA STRAIGHT FOR US WITH LNDG LIGHTS ON.I STARTED A DSNDING LEFT TURN AND AT THE SAME TIME THE MLG TURNED TO HIS LEFT AND STARTED TO CLB. HE PASSED OVER US WITH ABOUT 400' BTWN US. THE MLG LNDG LIGHTS MADE IT A LOT EASIER TO SEE THE PLANE. CALLBACK CONVERSATION WITH RPTR REVEALED THE FOLLOWING: RPTR STATES THAT HIS MODE C TRANSPONDER WAS ON AND WORKING. HE STATES THAT HIS PAX SAW THE APCHING LNDG LIGHTS FIRST AND ALERTED HIM AND THAT HE IMMEDIATELY BEGAN EVASIVE ACTION. IT APPEARED TO HIM THAT THE OTHER ACFT HAD ALREADY BEGUN EVASIVE ACTION AND HE IS UNSURE IF THE OTHER ACFT RPTED THE OCCURRED TO ANYONE.
