Narrative:
Cleared as filed to 10000'. Given a radar vector for a left turn at approximately 8500'. Captain made a comment that 'she doesn't seem to want to bank very well.' aircraft was in a 5-10 degree left bank at the time, and he increased the autoplt bank command as we flew through 9000' in excess of 3000 FPM rate of climb. I realized he thought the autoplt was on (it was not). I told him 'the autoplt isn't on,' and 'we have 400' to go.' I missed the required 1000' call due to the previous distraction (observation?). In response to the 400' call, the captain began to lower the nose, but not fast enough, so I pulled the thrust levers to idle and switched off the autothrottle. Maximum aircraft altitude was approximately 10380'. ATC asked our altitude and pointed out traffic at 11000' that we had in sight approximately 5 mi away. Factors: captain thought autoplt was on, did not respond with a positive throttle command. First officer (myself) could have taken control of aircraft and stopped the climb, but hesitated because of my position, i.e., a first officer. Supplemental information from acn 129572: I feel a contributing factor was lack of adequate sleep. I had an early check-in. I left home and stayed at a local hotel to avoid getting up at XX15. Unfortunately the hotel I selected put me up in an airline room. This puts you near a railroad crossing and at least 3 times I can recall a train woke me up. I therefore had a very poor night's sleep, about 3 hours.

Title: ACR MLG ALT DEVIATION OVERSHOT DURING CLIMB.

UNFORTUNATELY THE HOTEL I SELECTED PUT ME UP IN AN AIRLINE ROOM. THIS PUTS YOU NEAR A RAILROAD XING AND AT LEAST 3 TIMES I CAN RECALL A TRAIN WOKE ME UP. I THEREFORE HAD A VERY POOR NIGHT'S SLEEP, ABOUT 3 HRS.
