Narrative:
Level flight at 6000' inbound to colts neck VOR departing ewr on newark III departure. ATC gives heads up call of traffic 12 to 2 O'clock descending into lga. We spot large transport about 2 O'clock slightly high 3-4 mi. ATC issues us an immediate descent to 5000' and advises that 2 O'clock has descended below 7000'. We began our descent and observed 2 O'clock traffic to climb. We then were cleared back to 6000'. At no time did we perceive collision threat. Traffic passed 2-3 mi.

Title: FLT CREW OF LGT OBSERVED TRAFFIC, RECEIVED CLRNC FROM DEP CTLR TO DSND, OBSERVED TRAFFIC CLIMBING. CLRED BACK TO ORIGINAL ALT.
Narrative: LEVEL FLT AT 6000' INBND TO COLTS NECK VOR DEPARTING EWR ON NEWARK III DEP. ATC GIVES HEADS UP CALL OF TFC 12 TO 2 O'CLOCK DSNDING INTO LGA. WE SPOT LGT ABOUT 2 O'CLOCK SLIGHTLY HIGH 3-4 MI. ATC ISSUES US AN IMMEDIATE DSCNT TO 5000' AND ADVISES THAT 2 O'CLOCK HAS DSNDED BELOW 7000'. WE BEGAN OUR DSCNT AND OBSERVED 2 O'CLOCK TFC TO CLB. WE THEN WERE CLRED BACK TO 6000'. AT NO TIME DID WE PERCEIVE COLLISION THREAT. TFC PASSED 2-3 MI.
