Narrative:
Medium large transport X departed 26R at ont. At 2000' MSL we entered a left turn direct to pdz VOR via the prado ii departure. While in the left turn to pdz, we heard ont departure control issue light transport Y traffic at 12 O'clock and 5 mi climbing. He answered that he had contact with the medium large transport X jet. Departure control cleared light transport Y to maintain visibility contact with medium large transport X, then for a visibility approach to the airport. While still in the left turn, we were issued traffic at 11 O'clock out of 4600', descending. My first officer reported light transport Y in sight. After a second my first officer remarked that he wondered where the traffic was going and whether or not he actually had us in sight. The first officer called back departure control and questioned that. Departure remarked that light transport Y was proceeding to the airport and had us in sight. Before I called out of the turn and before I personally could see light transport Y, my first officer pushed the nose over and we went under light transport Y approximately 200-300'. Our landing lights fully illuminated light transport Y. We would have hit him had not the first officer responded. In retrospect, maybe departure control could have issued more specific instructions to light transport Y; example: 'pass above and behind, maintain visibility.'

Narrative: MLG X DEPARTED 26R AT ONT. AT 2000' MSL WE ENTERED A LEFT TURN DIRECT TO PDZ VOR VIA THE PRADO II DEP. DEP CTL CLRED LTT Y TO MAINTAIN VIS CONTACT WITH MLG X, THEN FOR A VIS APCH TO THE ARPT. WHILE STILL IN THE LEFT TURN, WE WERE ISSUED TFC AT 11 O'CLOCK OUT OF 4600', DSNDING. MY F/O RPTED LTT Y IN SIGHT. AFTER A SECOND MY F/O REMARKED THAT HE WONDERED WHERE THE TFC WAS GOING AND WHETHER OR NOT HE ACTUALLY HAD US IN SIGHT. THE F/O CALLED BACK DEP CTL AND QUESTIONED THAT. DEP REMARKED THAT LTT Y WAS PROCEEDING TO THE ARPT AND HAD US IN SIGHT. BEFORE I CALLED OUT OF THE TURN AND BEFORE I PERSONALLY COULD SEE LTT Y, MY F/O PUSHED THE NOSE OVER AND WE WENT UNDER LTT Y APPROX 200-300'. OUR LNDG LIGHTS FULLY ILLUMINATED LTT Y. WE WOULD HAVE HIT HIM HAD NOT THE F/O RESPONDED. IN RETROSPECT, MAYBE DEP CTL COULD HAVE ISSUED MORE SPECIFIC INSTRUCTIONS TO LTT Y; EXAMPLE: 'PASS ABOVE AND BEHIND, MAINTAIN VIS.'
