Narrative:

Air carrier X was on radar vector heading level about 5000 ft MSL when TCASII alert sounded and red lights on vertical speed lit up. Monitor vertical speed sounded. This is very unsettling in a dark cockpit at night . We looked outside and saw traffic Y heading directly at us amongst the city lights. I guess this was VFR traffic at 500 ft above us probably assigned. All pilots I've flown with don't consider 500 ft adequate spacing. Visually you couldn't tell if we had adequate spacing. The captain elected to descend 300 ft.

ALL PLTS I'VE FLOWN WITH DON'T CONSIDER 500 FT ADEQUATE SPACING. VISUALLY YOU COULDN'T TELL IF WE HAD ADEQUATE SPACING. THE CAPT ELECTED TO DSND 300 FT.
